DM Digital agrees to design, build, and deploy a website or web application as specified in the package selected by the Client. The agreed scope includes the features outlined in the chosen pricing tier. Any features not explicitly listed are excluded from the agreed scope.

A non-refundable deposit is required before any work commences (€150 Basic / €250 Standard / €500 Premium). The final setup fee balance is due on go-live day before the site is made publicly live. The monthly retainer is billed in advance on the 1st of each month via recurring invoice.

The Client is solely responsible for providing all required content: text, images, logo files, and branding assets. DM Digital is not responsible for any delays caused by late or incomplete content delivery. DM Digital accepts no liability for copyright infringement arising from client-supplied content.

If required content is not received within 10 working days of the kickoff call, the project will be paused and rescheduled. The deposit is non-refundable in this event. DM Digital will send reminders via WhatsApp on Day 3 and Day 7 after the kickoff if content has not been received.

The quoted build timeframe clock starts from the date all required content is received in full — not from the date the deposit is paid. Build timeframes are estimates and may vary based on complexity and revision feedback.

Up to 2 rounds of revisions are included in the agreed price. Additional revision rounds are charged at €60/hour, agreed via WhatsApp in writing before commencing. A “revision round” constitutes a set of changes communicated in a single batch.

DM Digital retains ownership of all code, codebase architecture, and the hosting environment. The Client owns all content they have supplied (text, images, data). A Code Transfer Fee of €299 applies if the Client wishes to receive and take full ownership of the source code upon cancellation or at any time during the engagement.

Either party may cancel with 30 days’ written notice. A WhatsApp message is accepted as written notice. Upon cancellation, the site will remain live for the 30-day notice period and will go offline thereafter. No partial refund of the monthly retainer will be issued for the final month. The monthly retainer continues to be billed until the 30-day notice period expires.

Any work requested beyond the agreed scope will be quoted and approved in writing via WhatsApp before commencing. Out-of-scope work is billed at €60 per hour. DM Digital will not proceed with out-of-scope work without prior written approval.

DM Digital is not liable for any business losses, lost revenue, or consequential damages resulting from site downtime, third-party platform outages (including but not limited to hosting providers), or errors in content supplied by the Client. DM Digital’s total liability shall not exceed the fees paid in the preceding month.

Support is provided Monday–Friday, 09:00–18:00 Irish time via WhatsApp Business only. Response times: P1 Critical (site down) — 2 hours; P2 High (major feature broken) — 4 hours; P3 Medium (content update) — 12 hours; P4 Low (general queries) — 24 hours. The SLA does not cover third-party outages. The full SLA document will be sent on go-live day.

DM Digital will not store, share, or use the Client’s customer data for any purpose outside the agreed scope of work. All websites built by DM Digital will include a basic Privacy Policy page in compliance with GDPR requirements applicable in Ireland.

This agreement is governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.

These Terms of Business, together with the selected package details confirmed at sign-up, constitute the entire agreement between DM Digital and the Client and supersede all prior discussions, proposals, or representations.
